Omnisnia CRM — Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Omnisnia CRM application and related services (the “Service”) provided by Nandeshou Inc. (“Nandeshou,” “we,” “us,” or “our”). By creating an account, or by accessing or using the Service, you agree to these Terms on behalf of yourself and the organization you represent (“you” or “Customer”). If you do not agree, do not use the Service.

Closed beta. Omnisnia CRM is currently offered as a closed beta. The Service is provided on an “as is” and “as available” basis, may change, and may contain errors or be interrupted. Do not rely on the Service as your sole system of record during the beta.

1. The Service

Omnisnia CRM is an AI-native customer relationship management application that includes CRM records, collaboration channels, email tools, reporting, and the “Omni” AI assistant. We may add, change, or remove features over time. Some capabilities depend on your plan and on configuration performed by your administrator.

2. Accounts and eligibility

You must register for an account to use the Service and provide accurate information. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 16 years old and able to form a binding contract. The first account in an organization creates that organization and administers it; administrators manage members, roles, and settings.

3. Plans, billing, seats, and usage limits

  • Plans and seats. Access is provided under the plan your organization selects. Per-seat plans limit the number of member accounts; adding members beyond your seat count may be refused until you move to a larger plan.
  • Usage limits. Plans may cap usage of certain resources — including email send volume, file storage, and AI usage — as described in the product documentation. Actions that would exceed a limit may be refused until the limit resets or you upgrade.
  • Payment. Depending on your deployment, billing is handled either through our payment provider or manually by invoice, where selecting a plan records it and an administrator settles the invoice out of band. Fees are non-refundable except where required by law or expressly stated.
  • Changes. We may change plans, limits, and pricing on reasonable notice; changes apply from the start of your next billing period unless stated otherwise.

4. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service in violation of any law or the rights of others;
  • upload or transmit malware, or attempt to gain unauthorized access to the Service or its systems;
  • interfere with or disrupt the integrity or performance of the Service;
  • reverse engineer or attempt to derive source code, except to the extent permitted by law;
  • send unlawful, deceptive, or unsolicited bulk messages (“spam”) using the email features; or
  • use the Service to store or transmit content that is unlawful, infringing, or harmful.

We may investigate suspected violations and may suspend or terminate access for conduct that we reasonably believe violates these Terms or harms the Service or others.

5. Customer Data and ownership

As between the parties, you own the data you and your organization submit to the Service (“Customer Data”). You grant Nandeshou a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and support the Service, to secure it, and as otherwise instructed by you. You are responsible for the accuracy and legality of Customer Data and for having the necessary rights and consents to submit it. Our handling of personal information is described in the Privacy Policy .

6. AI features

The Service includes AI-assisted features. AI output is generated automatically and may be inaccurate, incomplete, or unsuitable for your purpose; it does not constitute professional advice. You are responsible for reviewing and verifying AI output before relying on or acting on it, and for any actions you confirm. AI features may be provided using third-party model providers acting as our subprocessors. We do not use your Customer Data to train third-party foundation models.

7. Third-party services

The Service may interoperate with third-party services (for example, email delivery, payment, and AI providers). Your use of those services may be subject to their own terms, and we are not responsible for third-party services.

8. Confidentiality

Each party may access non-public information of the other. Each party agrees to protect the other’s confidential information with reasonable care and to use it only to perform under these Terms, excluding information that is public, independently developed, or rightfully received from a third party.

9. Warranties and disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid to us for the Service in the twelve months before the event giving rise to the liability, or, during the beta or where the Service is provided without charge, one hundred U.S. dollars (US$100).

11. Indemnification

You will defend, indemnify, and hold harmless Nandeshou from and against claims, damages, and expenses arising out of your Customer Data, your use of the Service, or your violation of these Terms, except to the extent caused by our own material breach.

12. Term, suspension, and termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay applicable fees, or where required for security or legal reasons. On termination, your right to use the Service ends; you may request an export of Customer Data for a limited period before it is deleted in the ordinary course, subject to routine backups.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located there, except where mandatory local law provides otherwise.
